WRITTEN RESOLUTION OF THE MEMBERS

Written Resolution under Clause 50 of the Constitution

Pursuant to Clause 50 of the Constitution, the Members of the Organisation hereby resolve as follows:

Special Resolution

That the Constitution of the Organisation be amended in accordance with the document entitled “Proposed Changes to the Constitution – June 2026“, attached to and forming part of this Resolution, including:

  1. Amendment of Clause 4 (Objects)
  2. Removal of the existing Clause 6
  3. Addition of a new Clause 6 relating to property powers
  4. Addition of Clause 9.1 establishing a minimum membership requirement
  5. Amendment of Clause 40 relating to AGM quorum requirements
  6. Amendment of Clause 108 relating to winding up and dissolution
  7. Amendment of Clause 109 relating to the distribution of surplus assets on winding up.
The Members further resolve that:
  • The amendments set out in the attached document are adopted in full
  • The Constitution shall be amended accordingly with effect from the date this Written Resolution is passed.
  • For the purposes of Clause 50, this Written Resolution shall be deemed to have been passed on the date on which the final Member signifies their agreement in writing or by e-mail.
